These Terms & Conditions (“Terms”) govern your access to and use of the FanRoars website at fanroars.com, the FanRoars mobile application, and any related services (collectively, the “Services”), operated by Varskite LLC. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. If you are under the age of majority where you live, you may use the Services only with the involvement of a parent or legal guardian. By using the Services, you represent that you meet these requirements.

2. Accounts & waitlist

Some features require an account or waitlist registration. You agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at hello@varskite.com of any unauthorized use. Joining the waitlist does not guarantee access to the App.

3. License to use the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial enjoyment. We reserve all rights not expressly granted.

4. Acceptable use

You agree not to:

• use the Services in any unlawful manner or in violation of any applicable law or regulation;
• artificially inflate momentum, scores, or rankings — including through bots, scripts, automated devices, or other manipulation;
• interfere with, disrupt, or place an unreasonable load on the Services or their infrastructure;
• reverse engineer, decompile, or attempt to extract source code, except where permitted by law;
• access the Services through unauthorized means or breach any security or authentication measures;
• upload or transmit malware, or harass, abuse, or harm another person; or
• use the Services in a way that infringes the rights of others or violates venue rules at any event.

5. Device use & safety

FanRoars encourages you to shake your device, tap, and cheer. You are solely responsible for using the Services safely. Maintain a secure grip on your device, be aware of your surroundings and other people, and follow all venue and safety instructions. Do not use the Services while driving or in any situation where doing so could endanger you or others. We are not responsible for personal injury or property damage arising from your use of the Services.

6. Intellectual property

The Services — including all software, text, graphics, logos, the FanRoars name and brand, and other content (excluding your own content) — are owned by Varskite LLC or its licensors and are protected by intellectual property laws. You may not use our trademarks without our prior written permission.

7. User content & feedback

If you submit content (such as a username or communications) or provide feedback, you grant Varskite LLC a worldwide, royalty-free, perpetual license to use, reproduce, and display such content and to use feedback to improve the Services, without obligation to you. You are responsible for the content you submit and represent that you have the rights to do so.

8. Third-party services

The Services may rely on or link to third-party services (for example, app stores, hosting, and analytics providers). We are not responsible for third-party services, and your use of them is governed by their own terms and policies.

9. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect and use your information, including microphone and motion-sensor data.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that momentum measurements or rankings will be accurate.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARSKITE LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Varskite LLC and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

13. Suspension & termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or to protect the Services or other users. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

14. Changes to the Services or Terms

We may modify or discontinue the Services, in whole or in part, at any time. We may also update these Terms; we will post the updated version with a new “Last updated” date and, where required, provide additional notice. Your continued use after changes take effect constitutes acceptance.

15. Governing law & dispute resolution

Varskite LLC is a limited liability company organized under the laws of the Commonwealth of Virginia, United States. These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Virginia, United States, and you consent to personal jurisdiction and venue there, unless applicable law grants you the right to bring proceedings elsewhere. You and Varskite LLC agree to first attempt to resolve any dispute informally by contacting us.
